Before
Legal and GRC teams manually opened vendor contracts, located regulatory and internal reference documents, and compared contract clauses against each requirement. They then consolidated findings, drafted remediation language, prepared management summaries, and coordinated delivery of the final report, creating a process that could take multiple days per contract.
How it works
- A requester submits the review through the audit portal after placing the contract in the designated document folder, and the workflow retrieves the contract, reference documents, and reporting template.
- Document extraction and GRC analysis agents assess the contract against GDPR, DORA, ISO 27001, and internal references, score compliance, identify and consolidate risks, and generate prioritized corrective actions and proposed clauses.
- The workflow populates the analysis report, creates an HTML summary, and emails the completed results and spreadsheet attachment to the requester.
Workflow details
- Submission and document retrieval: A requester submits an analysis request through the contract audit portal with an email address after uploading the vendor contract to the designated document folder. The workflow locates the contract, reference materials, and reporting template automatically.
- Document extraction and framework review: Dedicated document-processing agents extract text from PDF or DOCX files, including large documents in sequential chunks. A GRC analysis agent compares each contract against GDPR, DORA, ISO 27001, and internal security, governance, and compliance references, identifying clause-level gaps, transfer risks, operational and reputational impacts, compliance scores, and evidence.
- Risk prioritization and remediation design: The workflow produces prioritized gaps, executive risk summaries, corrective actions, implementation timelines, responsible owners, compliance roadmaps, and ready-to-use contractual language such as transfer, resilience, encryption, audit, and incident-management provisions. Results from multiple reference documents are consolidated into thematic domains and overlapping issues are deduplicated.
- Report assembly: The consolidated findings are written into structured spreadsheet sections covering general contract information, overall compliance posture, executive priorities, and the thematic gap matrix. A dashboard-style HTML summary is also generated for clear review by legal, GRC, security, and management teams.
- Delivery: The completed HTML summary is sent to the requester by email with the formatted Excel analysis attached, providing a single package for decision-making and contract remediation.
What changed
The review now starts from a portal submission and proceeds through automated document retrieval, extraction, framework comparison, risk prioritization, report generation, and email delivery. Human reviewers receive a consolidated scorecard and proposed remediation language for decision-making and negotiation instead of coordinating the analysis and assembling the deliverables themselves.
Work removed
Manually locating contract and reference files, extracting and reviewing document content, mapping clauses to multiple regulatory and internal frameworks, identifying duplicate gaps, calculating and consolidating compliance findings, drafting remediation clauses, assembling spreadsheet and dashboard reports, and emailing the final package.
Expected outcome
Based on the workflow notes, the review is expected to produce a complete contract assessment in approximately 3–5 minutes instead of a multi-day manual cycle, subject to document size, extraction, and processing conditions.
